Job Overview
This senior role will be part of Global Corporate office – Global Secretarial function.
Job Responsibilities
- Timely compliance of provisions of Companies Act 2013 and Secretarial Standards
- Well-versed with SEBI LODR compliances
- Preparation of Notice, Agenda, Minutes and complying with the provisions of Board/
Committee/ General meetings - Drafting of resolutions, explanatory statements and supplementary papers for Board/Committee/ General meetings including passing of resolutions by Postal Ballot
- Preparation of Annual filing related documents including Board Report and Annual Return as per the Companies Act. 2013
- Complying with the provisions of Companies Act 2013 relating to appointment of statutory/Secretarial/Cost/ Internal Auditors and KMPs including independent director, whole time director, woman director and other Board members
- Allotment, Private placement of equity shares for resident and non-resident investors
- Assisting in ensuring legal & statutory compliances through e-compliance for preparation & filing of statutory forms & returns under the Companies Act, 2013 including maintaining statutory books & registers
- Working knowledge in relation to Share transfers & transmission, dematerialization of securities, dealing with NSDL/CDSL, ESOP
- Handling the work in the above lines for the Holding Company and its Subsidiary Companies (Domestic & Overseas) as applicable
Qualifications and Skills
- Member of the Institute of Company Secretaries of India with post qualification experience of 12-15 years
- The candidate compulsorily should have worked with Listed Companies.
ACS position will report into the Company Secretary. The candidate should be confident, be able to articulate well and have a good command over both written & verbal communication.
